The Companies Act 1993
Advising on appropriate corporate structures, governance models and constitutional operating regimes are an important part of our company law practice.
The Companies Act 1993 and the related legislation significantly modified the governance documentation and statutory context within which companies operate. The Act's default regime that applies, if not modified or negated by an adopted constitution, often delivers unexpected outcomes. Although simple incorporation is readily achievable there will be few cases where situation specific constitutional modifications are not required.
The Act opened Directors up to new responsibilities and potential liabilities. We are able to assist in ensuring that appropriate compliance processes are followed during security and contract implementation.
